Terms of Service

Please read these Terms of Service (“Terms”) carefully before accessing or using the SpineNavigator platform (“Platform”, “Service”, “we”, “us”). By accessing or using the Platform you agree to be bound by these Terms. If you do not agree, do not access or use the Platform.
1. Description of Service
SpineNavigator is a private, secure clinical communication platform designed for use by licensed spine surgeons, their authorized care teams, and their patients. The Platform provides AI-assisted, protocol-driven responses to patient questions based exclusively on clinical documents uploaded and approved by the treating surgeon. It is not a general medical information service.
2. Eligibility and Access
Access to the Platform is by invitation only. You may use the Platform only if you are:
- A licensed healthcare professional or administrative staff member who has been onboarded by an authorized SpineNavigator clinic; or
- A patient or authorized patient representative under the care of a registered SpineNavigator clinic, accessing the Platform through a secure link issued by your clinic.
You must be at least 18 years of age to create an account. Minors may use the Platform only under the supervision and account of a parent or legal guardian.
3. Not an Emergency Service
SpineNavigator is NOT intended for medical emergencies. If you are experiencing a life-threatening situation, severe bleeding, difficulty breathing, chest pain, or any other emergency, stop using this Platform and call 911 (United States/Canada), 999 (UK), 112 (EU), or your local emergency services immediately.
4. Clinical Content and Medical Disclaimer
The AI-generated responses provided through the Platform are based solely on documents your surgeon has explicitly approved and uploaded. This information is intended to supplement — not replace — the personalized medical advice of your healthcare provider. Always consult your treating surgeon or a qualified healthcare professional for medical guidance specific to your condition.
SpineNavigator does not provide diagnoses, prescribe treatment, or constitute the practice of medicine.
5. Account Security and Credentials
You are responsible for maintaining the confidentiality of your login credentials and access links. You must immediately notify your clinic and contact us at bdthombre@gmail.com if you believe your account has been accessed without authorization.
Sharing access credentials or patient access links with unauthorized individuals is strictly prohibited.
6. Acceptable Use
You agree not to:
- Share your access credentials or patient access link with any unauthorized person;
- Attempt to access other patients' or providers' data or conversations;
- Use the Platform for any unlawful purpose or in violation of any applicable law;
- Upload, transmit, or share content that is fraudulent, defamatory, or harmful;
- Reverse engineer, decompile, or attempt to extract underlying AI models, embeddings, or clinical documents from the Platform;
- Interfere with or disrupt the Platform's infrastructure, servers, or networks.
7. Privacy and Health Information
Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. Protected Health Information (PHI) is handled in accordance with the Health Insurance Portability and Accountability Act (HIPAA) and the Personal Health Information Protection Act (PHIPA, Ontario, Canada).
8. Intellectual Property
All clinical documents uploaded by surgeons remain the property of the uploading clinic or healthcare provider. The Platform, its software, design, trademarks, and underlying technology are owned by SpineNavigator. No rights to these are granted except the limited license to use the Platform as described herein.
9. Modifications to the Service
We reserve the right to modify, suspend, or discontinue the Platform or any feature at any time, with or without notice. We will make reasonable efforts to notify registered clinics of material changes.
10. Modifications to These Terms
We may update these Terms at any time. When we do, we will update the “Last updated” date above. Continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.
11. Disclaimers and Limitation of Liability
The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, SpineNavigator disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by law, SpineNavigator shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform, even if we have been advised of the possibility of such damages.
12. Indemnification
You agree to indemnify and hold harmless SpineNavigator and its affiliates, officers, employees, and agents from any claims, damages, losses, or costs (including reasonable legal fees) arising from your violation of these Terms or your misuse of the Platform.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario.
14. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
